The Legal Director of Sub-Region Asia will :
- Lead and support the Sub Region on a broad scope of the Legal, Ethics & compliance department ( business contracts, litigation, Compliance, insurance and to a certain extent labour law matters etc.) with the exceptions of certain fields of expertise led by legal experts based at the headquarters (Operating & Maintenance contracts, M&A and IP),
- Supervise & coordinate closely with a local Corporate Secretary/E&C Manager (corporate housekeeping for Egis companies in Asia ).
- Report directly to the General Counsel of the ASIA- Region with a dotted line to the Asia CEO
He/she will be a member of the Group Legal, Ethics & Compliance department (LE&CD), a centralized team of inhouse lawyers and paralegals of ca 90 person across the globe, and will collaborate with the other LE&CD’s teams, in particular the central expertise practices of the department (corporate, IP, insurance, Ethics & Compliance etc.) based in France and, as the case may be, the other inhouse Business legal counsels in other regions.
The position involves a high degree of leadership and responsibility; he/she must be proactive and self-motivated, with a desire to grow personally and professionally. The role requires excellent client and team management skills in a multicultural environment, persuasive writing capabilities, project management skills and great business judgment with the ability to give clear and practical legal advice.
Specific Responsibilities
- Responsible for directly providing or ensuring his/her team provide to all businesses and functions of the sub Region solutions-oriented advice, recommendations, support and trainings on all aspects of legal issues and regulatory risks and compliance with legal and regulatory requirements
- Provide support and guidance for agreements of all kinds (engineering, consulting and professional services agreements, procurement contracts, cooperation, consortium, joint venture agreements etc.) on all legal aspects (commercial law, insurance, IP, etc.) as the case may be with the support of central experts within the LE&CD,
- Manage and supervise disputes, legal actions and litigation and regulatory risks, with the support where necessary of external counsels, contribute to the settlement of claims and manage insured losses in collaboration with the Insurance and Litigation Group central legal experts,
- Manage Ethics & Compliance in the sub Region in close coordination with the Regional GC of ASIA Region and the central Ethics & Compliance Department and as such participate directly in and oversee the roll out of the Ethics & Compliance program of codes, procedures and tools, monitoring and improvement of the Ethics approach, including by coordinating with the E&C Manager in Australia on organizing trainings, advising local teams on all compliance-related issues, and helping to enrich the risk culture within the region by strengthening compliance.
- Oversee the corporate entity housekeeping of the Egis entities in the Sub Region, (change of D&O, approval of annual financial statements etc), including requests and maintenance of the required operational licenses, in close coordination with the Regional GC of ASIA- Region and the Legal central Corporate teams,
- Participate to external growth transactions (acquisitions and Integration of new companies and divestitures) in the Region, under the leadership of the central Legal M&A team,
- Actively play a role in leading the local team, represent it within the regional team, reporting to his/her hierarchical and dotted lines and contribute to the design, implementation and follow up of Group Legal E&C Department processes, developing and sharing best practices and tools and procedures in the sub Region in coordination with the other members of the Regional team
- Strong background of legal experience practicing law in a law firm, or as in-house counsel, with excellent command of spoken and written English, specializing and with a focus in ethics and compliance with respect to day-to-day advice
- Experienced in a engineering or industrial sector required in an international environment
- Demonstrable commercial law, corporate law, and regulatory or administrative law experience in Asia
- Demonstrable leadership and people management experience and strong ability to work as a team player who can effectively collaborate with colleagues from the Legal, E&C Department and business stakeholders, in particular coordinating with cross-functional and cross-country teams in complex transactions
- “Hands-on” business partner attitude with a solution-oriented mindset, the highest integrity and professionalism, and capacity to challenge the status quo and strive for excellence and quality across various business functions in a fast-paced environment.
